Unknown error returned by UFAD

I get this message when attempting to convert a NetWare 6.5 SP(any) VmImage made in VmServer 1.0.1 back to GSX 3.x.  The convertion never starts and gives the above error code.

I am running the "VMware Converter 3.0 Beta Starter Edition 101806  Build 33128" under WinXP with SP2 and my admin account.

Any ideas ???
